GOA Skincare, Inc. – Terms of Use
These Terms of Use ("Terms") govern your access to and use of all websites, mobile sites, applications, and online services that link to or reference these Terms (collectively, the "Services") made available by GOA Skincare, Inc. ("GOA," "Company," "we," "us," or "our"). GOA Skincare, Inc. is a corporation organized under the laws of the State of Delaware with its principal place of business in the State of California.
By accessing, browsing, or using any part of the Services you acknowledge that (1) you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference, and (2) you are at least eighteen (18) years old and legally able to enter into a binding contract. IF YOU DO NOT AGREE TO THESE TERMS OR OUR PRIVACY POLICY, DO NOT ACCESS OR USE THE SERVICES.
NOTICE REGARDING DISPUTE RESOLUTION – THESE TERMS CONTAIN A MANDATORY ARBITRATION AGREEMENT WITH A CLASS‑ACTION WAIVER AND JURY‑TRIAL WAIVER. PLEASE READ SECTION 17 CAREFULLY.
1. Services Not Intended as Medical Advice
The information provided through the Services—including text, graphics, images, videos, articles, blog posts, social‑media content, product descriptions, protocols, and any other material—is for general informational purposes only and is not a substitute for professional medical advice, diagnosis, or treatment. Statements regarding our products have not been evaluated by the U.S. Food and Drug Administration. You should always seek the advice of a physician or other qualified health‑care provider with any questions you may have regarding a medical condition. Reliance on any information presented via the Services is solely at your own risk.
2. Intellectual‑Property Ownership
All content, trademarks, service marks, logos, trade names, graphics, designs, images, audio, video, software, and any compilation thereof made available through the Services (collectively, "Materials") are owned by GOA or by third parties that have licensed their content to us. Except as expressly permitted by these Terms, you may not copy, reproduce, modify, republish, upload, post, transmit, distribute, or otherwise exploit any Materials without GOA’s prior written permission. All rights not expressly granted herein are reserved by GOA and its licensors.
3. Permitted and Prohibited Uses
You may use the Services and Materials only for your personal, non‑commercial use and in compliance with all applicable laws and these Terms. Without limiting the foregoing, you agree not to:
- reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services without our express written consent; 2. use any robot, spider, scraper, or other automated means to access the Services for any purpose without our prior written consent; 3. interfere with or circumvent the security or authentication measures of the Services, or attempt to probe, scan, or test the vulnerability of any GOA system or network; 4. upload, transmit, or distribute viruses, malware, or any other malicious code; 5. impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity; or 6. encourage or enable any other individual to do any of the foregoing.
GOA may suspend or terminate your access to the Services at any time, with or without notice, for conduct that it believes violates these Terms or is harmful to other users, us, or third parties.
4. Links to Third‑Party Sites
The Services may contain links to third‑party websites or resources ("Linked Sites"). GOA provides these links only as a convenience and does not endorse, monitor, or control the content on any Linked Site. GOA is not responsible for the content, policies, or practices of any Linked Site and you access any Linked Site at your own risk.
5. User Submissions (Ideas, Reviews, Comments, and Other Content)
If you submit, upload, post, or otherwise provide to GOA any suggestions, ideas, comments, reviews, photographs, testimonials, or other content (collectively, "Submissions"), you grant GOA a non‑exclusive, worldwide, royalty‑free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such Submissions in any media. You represent and warrant that you own or otherwise control all rights to your Submissions and that your Submissions do not violate any law or infringe any third‑party right.
6. Disclaimers
THE SERVICES, MATERIALS, AND ALL PRODUCTS MADE AVAILABLE THROUGH THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT. GOA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR‑FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVER(S) THAT MAKE THE SERVICES AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SERVICES AND ANY PRODUCTS IS AT YOUR SOLE RISK.
Some jurisdictions do not allow the exclusion of certain warranties; therefore, some of the above exclusions may not apply to you.
7. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GOA, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR IN CONNECTION WITH THE SERVICES OR PRODUCTS, EVEN IF GOA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL GOA’S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES OR PRODUCTS EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNT YOU PAID GOA, IF ANY, IN THE PAST TWELVE MONTHS.
Certain jurisdictions do not allow limitations of liability, so the foregoing limitation may not apply to you.
8. Indemnification
You agree to indemnify, defend, and hold harmless GOA, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with (a) your access to or use of the Services or Products, (b) your Submissions, or (c) your violation of these Terms or any applicable law.
9. Modifications to the Terms
We may revise these Terms at any time in our sole discretion. Updated Terms will be posted on the Services with a new “Last updated” date. Unless otherwise stated, any changes will be effective immediately upon posting. Your continued use of the Services following the posting of updated Terms constitutes your acceptance of the changes.
10. Products for Personal Use Only
Products and any samples provided by GOA are for personal use only. You may not sell, resell, or otherwise exploit any product or sample for commercial purposes. We reserve the right to cancel or reduce the quantity of any order we believe may result in a violation of these Terms.
11. Payment, Orders, and Shipping
Prices displayed via the Services are quoted in U.S. dollars and are valid only in the United States. Applicable taxes and shipping will be added at checkout. Risk of loss and title for products passes to you upon our delivery to the carrier. For information on processing, shipping, returns, and refunds, please see our Shipping & Returns Policy, which is incorporated by reference.
12. Electronic Communications; Calls and Texts
By using the Services, you consent to receive electronic communications from GOA, including emails, texts, in‑app notifications, and other messages, and you agree that all notices, agreements, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing. Standard message and data rates may apply for SMS communications. You may opt out of marketing texts at any time by following the instructions in the message.
13. Mobile Terms of Service
If you enroll in GOA’s SMS program, you agree to receive recurring automated marketing and informational text messages from or on behalf of GOA at the mobile number you provided. Consent is not a condition of purchase. Message frequency varies. To opt out, reply STOP. For help, reply HELP or email info@goaskincare.com. Message and data rates may apply.
14. California Consumer Notice (§ 1789.3 California Civil Code)
If you are a California resident, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834 or by telephone at (800) 952‑5210 or (916) 445‑1254.
15. Governing Law
These Terms and any dispute arising hereunder shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict‑of‑laws principles. Notwithstanding the foregoing, as a Delaware corporation, GOA retains the right to avail itself of any defenses or privileges available under Delaware law.
16. Dispute Resolution & Arbitration Agreement
16.1 Agreement to Arbitrate
You and GOA agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or the sale of any products (collectively, "Disputes") through binding individual arbitration, except that either party may elect to resolve a Dispute in small‑claims court if the requirements of that court are met.
16.2 Arbitration Procedure
Arbitration shall be administered by JAMS under its Streamlined Arbitration Rules. Unless the parties agree otherwise, arbitration will take place in Los Angeles County, California. If that location is not convenient, the parties may mutually agree to conduct the arbitration by video conference or at another location. The arbitrator shall have exclusive authority to resolve all threshold arbitrability issues.
16.3 Class‑Action Waiver & Jury‑Trial Waiver
YOU AND GOA EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND TO PARTICIPATE IN A CLASS ACTION OR CLASS‑WIDE ARBITRATION. Disputes will be arbitrated only on an individual basis.
16.4 Costs
GOA will pay all filing, administration, and arbitrator fees for any arbitration initiated by GOA. For consumer arbitrations that you initiate, GOA will pay those fees in excess of the first US $250, unless the arbitrator finds your claims frivolous.
16.5 1‑Year Limitations Period
Any Dispute must be filed within one (1) year of the date the cause of action arose, or it is forever barred.
16.6 Opt‑Out
You may opt out of this Arbitration Agreement by sending written notice to info@goaskincare.com within thirty (30) days of your first acceptance of these Terms, with "Arbitration Opt‑Out" in the subject line and your full name in the body of the email.
17. Miscellaneous
These Terms constitute the entire agreement between you and GOA regarding the Services and supersede all prior agreements or understandings. If any provision is held to be unenforceable, the remaining provisions shall remain in effect. GOA’s failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. You may not assign these Terms without GOA’s prior written consent. GOA may assign its rights under these Terms at any time without notice.
